BUSINESS TERMS AND CONDITIONS

1. Acceptance of Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and AYQ Solutions (“Company,” “we,” “us,” or “our”) governing your use of our services.
By engaging our services, including Website Design & Development, Mobile App Development, SEO Booster, Custom Software Development, Digital Marketing, and Website Maintenance & Handling, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you may not use our services.
2. Services Provided
2.1 Scope of Services
AYQ Solutions provides the following services:
- Website Design & Development – Custom website creation, redesign, and development services
- Mobile App Development – Native and cross-platform mobile application development
- SEO Booster – Search engine optimization services to improve online visibility
- Custom Software Development – Tailored software solutions for specific business needs
- Digital Marketing – Comprehensive digital marketing campaigns and strategies
- Website Maintenance & Handling – Ongoing website updates, security, and management
2.2 Service Specifications
The specific scope, deliverables, timelines, and costs for each project will be detailed in a separate Service Agreement, Proposal, or Statement of Work (SOW) that supplements these Terms.
3. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information necessary for service delivery
- Respond to communications in a timely manner
- Provide access to necessary systems and accounts
- Review and approve deliverables within agreed timeframes
- Make payments according to agreed terms
- Ensure that all provided content does not infringe third-party rights
4. Payment Terms
4.1 Fees and Pricing
All service fees will be specified in the Service Agreement or Proposal.
All prices are quoted in Sri Lankan Rupees (LKR) unless otherwise stated and are exclusive of applicable taxes.
4.2 Payment Schedule
- A 30%–50% initial deposit is required before work begins
- Milestone payments may apply depending on the project
- Final payment is due upon project completion
- Monthly retainer services must be paid at the beginning of each billing cycle
4.3 Late Payments
Invoices are due within 7 days of the invoice date unless otherwise agreed.
Late payments may result in service suspension until payment is received.
4.4 Disputed Charges
Any disputed charges must be reported in writing within 10 days of the invoice date.
5. Project Timeline and Delays
5.1 Estimated Timelines
Project timelines are estimates and may change based on complexity and client responsiveness.
5.2 Client-Caused Delays
Delays caused by failure to provide content, approvals, or access will extend timelines accordingly. AYQ Solutions is not responsible for such delays.
6. Intellectual Property Rights
6.1 Client-Provided Materials
Clients retain ownership of materials they provide. AYQ Solutions is granted a limited license to use them for project completion.
6.2 Work Product
Upon full payment, the Client will own the final deliverables created specifically for them.
AYQ Solutions retains rights to:
- Pre-existing tools
- Frameworks
- Templates
- Methodologies
6.3 Third-Party Components
Some services may include third-party software or plugins. Clients are responsible for complying with third-party license terms.
6.4 Portfolio Rights
AYQ Solutions reserves the right to showcase completed projects in portfolios and marketing materials unless confidentiality is requested in writing.
7. Revisions and Changes
7.1 Included Revisions
Each service package includes a specified number of revisions as mentioned in the Service Agreement.
7.2 Additional Revisions
Additional revisions beyond scope may incur extra charges.
7.3 Scope Changes
Scope changes must be agreed upon in writing and may affect pricing and timelines.
8. Warranties and Disclaimers
8.1 Service Warranty
AYQ Solutions guarantees services will be delivered professionally according to industry standards.
8.2 Disclaimer
Services are provided “as is.”
We do not guarantee that services will be uninterrupted or error-free.
8.3 SEO & Marketing Results
We do not guarantee specific SEO rankings, website traffic, or advertising results, as outcomes depend on external factors beyond our control.
9. Limitation of Liability
AYQ Solutions’ total liability shall not exceed the total amount paid by the Client for the specific service in question.
We are not liable for indirect or consequential damages, including loss of profits, data, or business opportunities.
10. Confidentiality
Both parties agree to keep confidential information private and use it solely for project purposes.
This obligation continues for 2 years after termination.
11. Termination
11.1 Termination by Client
Clients may terminate services in writing. Payment for completed work remains due.
11.2 Termination by Company
We may terminate services if:
- Payments are not made
- Terms are violated
- Illegal or unethical activities occur
11.3 Effect of Termination
Completed work will be delivered upon full payment.
12. Indemnification
The Client agrees to indemnify and hold AYQ Solutions harmless against claims arising from client-provided content or misuse of deliverables.
13. Force Majeure
Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, government actions, internet failures, or emergencies.
14. Dispute Resolution
14.1 Negotiation
Parties agree to attempt good faith negotiation first.
14.2 Arbitration
Unresolved disputes shall be settled under the laws of Sri Lanka.
14.3 Governing Law
These Terms shall be governed by the laws of the Democratic Socialist Republic of Sri Lanka.
15. General Provisions
- These Terms constitute the full agreement
- Amendments may be made by updating the website
- Clients may not transfer agreements without consent
- Invalid provisions do not affect the remainder
- Both parties act as independent contractors
